Karthik is the Founder & Managing Director at Tern Capital. Karthik is a serial entrepreneur with a track record of growing software businesses. Karthik has over 15 years of experience working with software businesses, especially with complex and mission-critical B2B software businesses.

Prior to starting Tern, he was advising blue-chip clients on profitable growth at Bain & Company and held operational roles at GE’s industrial and capital businesses across three continents.

Karthik has a MBA from Insead and a Computer Science degree from the University of Hong Kong.

Mark Thompson

Operating Partner

Mark has 20+ years of experience growing software business selling into the NHS and other public sector verticals. He was previously a Group Managing Director at Advanced Business Solutions, CEO of COA solutions and CEO of mHance.

Mark has successfully scaled businesses COA and m-hance both organically and through acquisitions. At COA, he acquired and integrated 9 businesses (3,200 customers split equally across direct and indirect partners) before successfully selling to Advanced Computer Group. At m-hance, he made 4 acquisitions and tripled sales before a successful exit.

Most importantly, Mark’s main roles was to coach and develop the management team–many of whom have gone on to senior roles in the industry.

Tom Llewellyn-Lloyd

Principal

Tom is an experienced finance and investment professional with 10+ years of experience working across audit, private equity and deals advisory. Tom is also a qualified chartered accountant, with 7+ years of managing a portfolio of FTSE 100 and privately owned financial services clients.

Most recently, Tom has worked as a deal adviser at PwC focused on identification and implementation of operational improvements for complex carve-out and integration projects. Tom brings a wealth of financial and operational experience, which is leveraged across executing new investments for the Tern and bringing operational improvements to the portfolio post acquisition.

Stuart Pittaway

Chief Technology Officer

Stuart Pittaway has over 25 years of experience in architecting, designing, and implementing public and private cloud (AWS and Azure mainly) for a large mortgage lender (Charter Court Financial Services, now part of One Savings Bank) from scratch; he was part of the team from inception/startup. Within DevOps, his experience is mainly with microservices architecture design and deployments, leveraging TOGAF enterprise architecture framework and implementing composable architecture (especially MACH). As you look to scale TMI, we believe it is important to design architecture that is scalable, resilient, secure and most importantly cost-efficient.

He also has significant experience with enterprise software development through managing teams and delivering large scale and high-volume solutions. He has direct coding experience with JavaScript, Python, .NET, C#, .net core, C++, ASP.NET and SQL Server.

Francis Gordon

Deal Origination

Francis is a corporate finance professional with six years of experience, starting his career in corporate audit for BDO as a school-leaver, and spanning accounting as well as both buy-side and sell-side M&A advisory. His buy-side experience comes from his two years as a Deal Leader at Chelsea Corporate, where he specialised in sourcing off-market acquisition opportunities for a variety of clients executing buy-and-builds, ranging from EU PLCs to UHNWIs and multi-billion-pound revenue trade buyers, managing entire transactions from initial meetings and negotiations through to finalising due diligence.

Previously, Francis was an Associate at Benchmark International, where he led the transaction process for a portfolio of circa 50 clients advising on MBOs, MBIs, EOTs, and general disposals.

At Tern Capital, Francis leads the origination and execution of off-market transactions.
